Terms of Service

1. Introduction
These Terms of Service ("Terms") govern access to and use of the Identra Technologies Bureau LTD ("ITB", "we", "us", or "our") identity, verification, and intelligence infrastructure platform, including all associated web portals, applications, APIs, and services (collectively, the "Platform").
By accessing or using the Platform, you confirm that you are acting on behalf of an authorised institution and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.
Identra Technologies Bureau LTD is a company registered in the Republic of Ghana (RC No. CS176530725) and operates in accordance with applicable Ghanaian law, including the Data Protection Act, 2012 (Act 843).
2. Eligibility & Institutional Access
The Platform is an institutional system and is not intended for general public use.
Access is restricted to:
- Government agencies and law enforcement bodies
- Licensed financial institutions and regulated entities
- Approved private sector organisations vetted by ITB
- Authorised personnel acting on behalf of approved institutions
All access requires prior application, review, and approval by ITB. Credentials are issued on a controlled basis and remain subject to ongoing compliance with these Terms and any applicable institutional agreement.
3. Permitted Use
The Platform may be used solely for lawful institutional purposes within the scope of the user's authorised entitlements and operational mandate.
Permitted uses may include:
- Identity verification and validation
- Biometric enrollment and matching
- Vehicle and mobility intelligence
- Fraud detection and screening
- Access control and attendance workflows
- Other authorised verification and intelligence use cases
All use must be consistent with applicable law, institutional authority, and agreed operational scope.
4. Prohibited Use
Users must not:
- Conduct surveillance or monitoring outside a lawful mandate
- Access, query, or export data beyond authorised permissions
- Attempt to bypass authentication, access controls, or system safeguards
- Share credentials or grant access to unauthorised individuals
- Use Platform outputs to engage in unlawful discrimination or rights violations
- Process personal data for purposes not disclosed or approved
- Reverse engineer, copy, extract, or reproduce any part of the Platform
- Interfere with or disrupt the integrity, security, or performance of the Platform
5. Accuracy of Results
The Platform provides identity verification, biometric matching, and data-driven outputs based on available data and configured system logic.
All outputs — including facial recognition results and verification scores — are provided as decision-support tools and must not be treated as conclusive evidence.
ITB does not guarantee the accuracy, completeness, or fitness for purpose of any result. Institutions and authorised users remain solely responsible for all decisions, actions, and outcomes arising from use of the Platform.
6. Data Responsibilities
Institutions using the Platform act as data controllers in respect of the personal data they submit to or retrieve from the Platform.
ITB acts as a data processor where it processes data on behalf of institutions, and in certain cases may act as a data controller where it independently determines the purposes and means of processing (e.g. system security, audit, and platform integrity functions).
Institutions are responsible for ensuring that their use of the Platform complies with applicable data protection laws, including the Data Protection Act, 2012 (Act 843), and for obtaining any required lawful basis or consent.
7. Audit & Accountability
All activity on the Platform — including queries, verifications, and data access — is logged and attributable to authenticated users.
These logs are retained for audit, security, and compliance purposes and may be disclosed to competent authorities where required by law.
Institutions are responsible for:
- The actions of their authorised users
- Maintaining appropriate internal controls
- Ensuring proper oversight and accountability of Platform use
8. Security & Access Control
Access to the Platform is subject to authentication, authorisation, and monitoring controls implemented by ITB.
Institutions must ensure that:
- Credentials are kept secure and not shared
- Access is limited to authorised personnel only
- Compromised accounts are reported to ITB immediately
ITB reserves the right to implement additional security controls where necessary to protect the integrity of the Platform and its data.
9. Intellectual Property
All rights, title, and interest in and to the Platform — including its software, systems, interfaces, data structures, workflows, and documentation — are owned by Identra Technologies Bureau LTD.
These Terms do not grant any licence to reproduce, distribute, modify, or create derivative works from any part of the Platform.
10. Limitation of Liability
To the maximum extent permitted by applicable law, ITB shall not be liable for any indirect, incidental, consequential, or punitive damages arising from:
- Use of or inability to use the Platform
- Reliance on Platform outputs
- Unauthorised access resulting from user negligence
- Institutional misuse of the Platform
Nothing in these Terms excludes liability where such exclusion is not permitted by law.
11. Suspension & Termination
ITB may suspend or terminate access to the Platform, in whole or in part, where:
- There is a breach of these Terms
- Misuse or abuse of the Platform is detected or reasonably suspected
- Continued access poses a risk to system integrity, data protection, or public interest
Where appropriate, ITB will provide notice; however, immediate action may be taken where necessary for security or compliance reasons.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Ghana.
Any dispute arising from or in connection with these Terms shall be subject to the jurisdiction of the courts of Ghana.
